L'\u00c9tat conserve officiellement le contr\u00f4le, mais a fait part de son intention de vendre les 50,1% restants au m\u00eame acheteur \u00e0 l'avenir.<\/p>\n<p>La date limite de d\u00e9p\u00f4t des offres non contraignantes \u00e9tait fix\u00e9e \u00e0 hier. IAG, la soci\u00e9t\u00e9 m\u00e8re de British Airways et d'Iberia, semble se retirer du processus, car une participation minoritaire ne correspond pas \u00e0 sa strat\u00e9gie \u00e0 long terme.<\/p>\n<h4>Une dette historique massive<\/h4>\n<p>La TAP emploie environ 7 700 personnes, dont 1 200 pilotes, et dispose d'une flotte d'une centaine d'avions. Cette compagnie a\u00e9rienne de taille moyenne propose des vols vers un vaste r\u00e9seau au Br\u00e9sil, vers 14 destinations africaines - y compris l'Afrique lusophone (comme l'Angola, le Mozambique, le Cap-Vert, la Guin\u00e9e-Bissau et S\u00e3o Tom\u00e9-et-Principe) - et vers les routes de l'Atlantique Nord \u00e0 destination des \u00c9tats-Unis.<\/p>\n<p>La compagnie a\u00e9rienne a transport\u00e9 plus de 16,5 millions de passagers l'ann\u00e9e derni\u00e8re et a enregistr\u00e9 des recettes d'exploitation de 3,28 milliards d'euros et un b\u00e9n\u00e9fice net de 55,2 millions d'euros au cours des neuf premiers mois de l'ann\u00e9e.<\/p>\n<p>Mais la TAP est trop petite pour concurrencer les grandes compagnies a\u00e9riennes sur tous les fronts. De plus, pendant la crise du COVID-19, le gouvernement portugais a inject\u00e9 3,2 milliards d'euros de fonds publics dans la compagnie, argent qu'il veut r\u00e9cup\u00e9rer. Dans le m\u00eame temps, les r\u00e8gles de l'UE en mati\u00e8re d'aides d'\u00c9tat exigent \u00e9galement qu'elle mette en \u0153uvre une strat\u00e9gie de sortie.<\/p>\n<h4>Air France-KLM est le favori ?<\/h4>\n<p>La TAP s'inscrit dans la \u201cstrat\u00e9gie multi-p\u00f4les\u201d d'Air France-KLM, explique Benjamin Smith, PDG du groupe franco-n\u00e9erlandais. Son objectif est d'intensifier les op\u00e9rations \u00e0 Lisbonne et de d\u00e9velopper la connectivit\u00e9 avec d'autres villes du pays. Un autre facteur est qu'Air France-KLM n'a pas encore de hub en Europe du Sud.<\/p>\n<p>Lufthansa, quant \u00e0 elle, souligne qu'elle est le plus grand groupe a\u00e9rien d'Europe et qu'elle est la mieux plac\u00e9e pour d\u00e9velopper la TAP \u00e0 partir de Lisbonne et de Porto, sans d\u00e9tourner le trafic vers Francfort. Carsten Spohr, PDG de Lufthansa, a qualifi\u00e9 Tap de \u201ccorrespondance parfaite\u201d, notamment en raison de ses solides r\u00e9seaux vers le Br\u00e9sil et l'Am\u00e9rique latine.<\/p>\n<p>Selon les experts, Air France-KLM semble \u00eatre le favori. Le groupe met en avant sa capacit\u00e9 \u00e0 pr\u00e9server et \u00e0 d\u00e9velopper l'identit\u00e9 des marques, comme il l'a fait avec KLM. Lufthansa a \u00e9t\u00e9 critiqu\u00e9e dans le pass\u00e9 pour avoir pr\u00e9tendument effac\u00e9 les identit\u00e9s de marque des compagnies a\u00e9riennes acquises.<\/p>\n<p>Le groupe Lufthansa comprend d\u00e9j\u00e0 un large \u00e9ventail de compagnies a\u00e9riennes, dont Swiss et Austrian Airlines, ainsi que Brussels Airlines. Il d\u00e9tient \u00e9galement une participation minoritaire dans la compagnie a\u00e9rienne italienne ITA. Cette int\u00e9gration bat son plein et le groupe pourrait porter cette participation \u00e0 90% cette ann\u00e9e, ce qui signifie qu'une grande partie de l'attention et des capitaux sont d\u00e9j\u00e0 consacr\u00e9s \u00e0 un autre grand projet du sud de l'Europe.<\/p>\n<h4>Star Alliance contre SkyTeam<\/h4>\n<p>Une mise en garde importante concerne toutefois le changement d'alliance. Il existe trois alliances mondiales de compagnies a\u00e9riennes. Star Alliance est la plus importante au monde avec une part de march\u00e9 de 17,4%, suivie de SkyTeam avec 13,7% et de Oneworld avec 11,9%.<\/p>\n<p>Si Air France-KLM l'emporte, TAP passera probablement de Star Alliance \u00e0 SkyTeam, ce qui modifiera sensiblement le paysage concurrentiel et renforcera consid\u00e9rablement la couverture de SkyTeam en Am\u00e9rique du Sud et en Afrique, deux des march\u00e9s de l'aviation qui connaissent la croissance la plus rapide.<\/p>\n<p>C'est pr\u00e9cis\u00e9ment la raison pour laquelle Lufthansa est si int\u00e9ress\u00e9e par la TAP : TAP est d\u00e9j\u00e0 membre de Star Alliance, tout comme Lufthansa. En ajoutant TAP, Lufthansa peut se d\u00e9velopper davantage via Lisbonne sur les vols long-courriers de l'Atlantique sans affecter ses principaux hubs de Francfort ou de Munich.<\/p>\n<p>Si Lufthansa l'emporte, la TAP restera dans Star Alliance, ce qui simplifiera l'int\u00e9gration sur le plan op\u00e9rationnel. Si Air France-KLM l'emporte, il s'ensuivra un changement d'alliance qui aura des cons\u00e9quences consid\u00e9rables pour des millions de voyageurs - et certainement pour tous les voyageurs de la TAP ayant le statut Star Alliance.<\/p>\n<h4>1,5 \u00e0 2 milliards d'euros<\/h4>\n<p>Le gouvernement portugais a fix\u00e9 un prix minimum de 770 millions d'euros pour la participation de 44,9%. Dans la pratique, les soumissionnaires offriront probablement plus que ce prix pour rendre leur offre plus attrayante.<\/p>\n<p>On estime que le prix d'achat plus les investissements futurs - TAP a 21 avions en commande - pourrait facilement atteindre 1,5 \u00e0 2 milliards d'euros pour l'adjudicataire.<\/p>\n<p>Le Premier ministre Luis Montenegro et son gouvernement vont maintenant examiner les propositions et pourraient ensuite entamer des n\u00e9gociations avec un ou plusieurs candidats.
